1. DEFINITIONS
1.1. In this Public Offer Agreement (hereinafter referred to as the “Agreement”), the terms are used in the following meanings:
2. GENERAL PROVISIONS
2.1. This Agreement is a public offer to conclude an electronic agreement for the purchase and sale of digital electronic goods, under which the Buyer pays the specified amount on the website, and the Seller undertakes to transfer the Product to the Buyer by providing a download link.
2.2. This Agreement is governed by the applicable legislation of Ukraine, including, but not limited to, Chapter 54 of the Civil Code of Ukraine, the Law of Ukraine “On Consumer Protection,” and the Law of Ukraine “On Electronic Commerce.”
2.3. The Seller considers themselves obligated to fulfill the terms of this Agreement upon Acceptance.
2.4. The Buyer and Seller are considered parties to this Agreement.
2.5. The Seller confirms their intellectual property rights to the Products and transfers under this Agreement the rights to use the “work,” namely the PDF or Revit files that constitute the Product under this Agreement.
3. PRODUCT PRICE
3.1. The price of the Product is determined on the description page of each Product and may be changed; however, this will not affect orders already placed.
4. ACCEPTANCE (ORDER PLACEMENT)
4.1. The Seller must provide the Buyer with necessary and accurate information about the Product in its description.
4.2. The Buyer’s right to preview the Product is realized through the publication of preview images on the website. Due to the nature of the Product, previews are shown partially.
4.3. Acceptance is carried out by placing an order on the website. It is considered that the website visitor has reviewed and accepted the terms of this Agreement and the description of each ordered Product.
4.4. In case of an erroneous Acceptance, the Buyer may:
(a) Not pay for the order, thereby terminating the Agreement five days after its conclusion;
(b) Contact the Seller via email to request a refund if the download link has not yet been sent to the Buyer. In such a case, the Seller must refund the money immediately, but no later than within three business days;
(c) Request a Product exchange if the erroneous Acceptance occurred due to an incorrect Product selection. The Seller may decide to exchange the Product even if the download link has already been sent or offer a partial exchange or refusal.
4.5. For Acceptance, the Buyer must provide their phone number, first name, last name, and email address.
5. PRODUCT DELIVERY
5.1. In the case of online payment, the Product is delivered automatically and immediately upon payment completion.
5.2. The Product is delivered by sending the Buyer a download link.
5.3. By clicking the “Download PDF file” or “Download Revit file” button, the file is downloaded in the selected format to the Buyer’s device.
5.4. The file is free from any passwords and available for filling and/or editing by the Buyer.
5.5. The download link is provided immediately.
5.6. The Product is considered accepted by the Buyer upon download. If technical issues arise, the Buyer may contact support via email at info@design-rv.com.
7. WARRANTY OBLIGATIONS
7.1. The Seller guarantees the quality of the Product.
7.2. The Seller is not responsible for the Buyer’s incorrect use of digital goods.
7.3. The Buyer agrees that digital goods are non-refundable after payment but may request a refund if the Product does not match the description.
7.4. The Buyer is prohibited from reselling the Product.
8. OBLIGATIONS OF THE PARTIES
8.1. The parties undertake to act in good faith, treat each other with respect, and strive to fulfill their obligations under this Agreement in the best possible way.
8.2. The Seller undertakes to ensure the relevance (compliance with applicable legislation) of all Products listed on the website and indicate the date of their listing or last update.
8.3. The Buyer may not distribute, sell, modify, or transfer the Product to third parties without the Seller’s written permission.
9. EXCHANGE OF MESSAGES AND INFORMATION BETWEEN THE PARTIES
9.1. The parties may exchange messages and information via email, phone calls (including SMS messages and messages on Viber, WhatsApp, Telegram).
10. PROCESSING AND PROTECTION OF PERSONAL DATA
10.1. By placing an order on the website, the Buyer consents to the Seller’s processing of their personal data provided during order placement.
10.2. When placing an order, the Buyer must provide their email address and optionally provide a contact phone number, last name, and first name.
10.4. The Buyer’s personal data may not be transferred (disclosed) to third parties without the Buyer’s consent, except as required by applicable law.
11. TERM OF THE AGREEMENT AND EARLY TERMINATION
11.1. This Agreement remains in effect until the parties fulfill their obligations.
11.2. If the Buyer does not pay for the order within five business days from its placement, the Agreement is considered unilaterally terminated by the Buyer.
12. OTHER TERMS
12.1. This Agreement is concluded on the territory of Ukraine and is governed by the applicable legislation of Ukraine.
12.2. Any disputes between the Buyer and Seller shall be resolved through negotiations. If a dispute cannot be resolved through negotiations, the Buyer and/or Seller have the right to refer the dispute to the courts in accordance with the applicable legislation of Ukraine.
12.3. The Seller has the right to amend this Agreement unilaterally. Additionally, changes to the Agreement may be made by mutual agreement of the parties in accordance with applicable law.
